**In December 2023 Farfetch was facing a critical cash shortage and potential bankruptcy. What happened next is worth understanding, because the mechanism used is specifically designed to be invisible to customers.**

**The facts, dated.**

**Farfetch entered a rescue deal with Coupang**, the South Korean e-commerce group, alongside investment partner **Greenoaks**. Coupang provided a **$500 million bridge loan** to keep operations running and acquired the business through a **pre-pack administration in the UK.**

**Holders of Farfetch's Class A and Class B ordinary shares — and its convertible notes — recovered nothing.** The **NYSE suspended trading in FTCH**, the shares being deemed to have **no residual value.**

**It was contested.** A group calling itself the **2027 Ad Hoc Group**, holding **over 50% of Farfetch's 2027 convertible notes**, challenged the transaction, arguing that it undervalued the company and that a **poison pill** in the agreement made competing bids unviable. **Coupang completed the acquisition of the assets in early 2024 regardless.**

**⚠️ Now the mechanism, because it is the genuinely useful thing here.**

**✅ The unifying rule is simple and worth carrying everywhere: a business that LOOKS continuous is not necessarily continuous.** The reliable check takes two minutes — **read the website footer for the registered company name and number, which is frequently not the brand name, and look that entity up on the companies register.**

**What this means practically for a customer.**

**⚠️ To be clear and fair: the site operating normally is not a warning sign, and Coupang is a substantial company that paid to keep the business alive.** This page is not suggesting anyone should avoid it. **The point is that corporate continuity and visible continuity are different things**, and the ordinary precautions matter more when you cannot tell them apart:

**Do not hold large gift-card or credit balances** at any retailer, and spend them promptly. A gift card is a prepayment and an unsecured claim.

**Now the product, because a luxury marketplace has one feature that matters more than any of the above.**

**⚠️ Farfetch is a marketplace: much of the stock is sold by independent boutiques rather than by the platform.** That is the source of its range — it aggregates inventory from shops worldwide — and it has consequences:

**The seller determines the experience.** Dispatch time, packaging, and how a return is handled depend on which boutique holds the item, and **two orders placed on the same day can behave completely differently.**
**Items ship from where the boutique is**, which means **cross-border delivery, and possibly customs charges**. ⚠️ **Establish the landed cost** — our AliExpress page notes the EU replaced its €150 duty exemption with a **flat €3 per product category on 1 July 2026** — and check what happens to those charges **if you return the item**, which is where luxury cross-border returns get expensive.
**Returns windows on a marketplace can be shorter** than a single retailer's, and the return may travel back to the originating country.
**Check authenticity policy and what the platform guarantees**, since on a marketplace the platform's assurance rather than the boutique's is what you are relying on.

**And the standing luxury-buying point: compare against the brand's own site.** Concession pricing, seasonal reductions and availability differ, and **on a high-value purchase the difference in returns handling alone can outweigh a modest price gap.**
